Special Mergers and Acquisitions course for MSU students
On 12 October 2024, we begin our special Mergers and Acquisitions course for students of the Moscow State University Faculty of Law.
The course will be led by its founder, Andrey Dontsov, and the partners and counsels of Stonebridge Legal.
Our experts will share their experience with the next generation of lawyers using real M&A cases.
We will cover the following topics:
- buyer and seller logic in transactions, and structuring basics depending on the buyer's (seller's) objectives;
- a basic approach to business valuation, contractual provisions on transaction prices and adjustments thereto;
- negotiation, basic structural tasks, argumentation and counter-argumentation;
- an overview of documentation used in M&A transactions;
- an overview of disputes arising from M&A transactions.
