On 11 December 2025, Stonebridge Legal took an active part in the prestigious industry Legal Day by Expert conference, which brought together leading in-house counsel and heads of legal departments from major Russian companies.
Roman Prudentov, PhD in Law, Partner of Stonebridge Legal, presented the topic of Buyer Protection: Using Escrow Accounts, Representations and Warranties, and Deferred Payments as Tools for Price and Risk Reduction as part of a session on corporate transactions. He provided a detailed analysis of how skilful deal structuring enables a buyer not only to minimise risks but also to create leverage for reducing the acquisition price. Particular focus was given to the key distinctions between representations and warranties on one hand, and indemnity obligations on the other, as well as the critically important issue of the buyer’s knowledge when claiming damages. Roman illustrated his points with examples from recent court practice, including cases involving Vinny Dom Fotisal, TMK PJSC, and Highland Gold.
Stonebridge Legal Partner and Head of Dispute Resolution Practice Alexey Yadykin spoke at the From Position to Result: A Systematic Approach to Litigation Work session. In his address, he analysed key strategies and challenges in disputes with foreign counterparties, paying special attention to the choice of jurisdiction, i.e., between international arbitration and Russian courts. Alexey examined sanctions risks in detail, discussed strategies employed by Russian parties to bypass arbitration clauses, and outlined the prospects for enforcing judgments both in Russia and abroad, supporting his arguments with relevant court practice, including cases against major international banks.
