On 23 October 2025, Stonebridge Legal once again participated as a partner in the annual Corporate Law and Corporate Governance conference organised by Pravo.ru. This year, the central discussion topics were strategic asset structuring, the use of digital financial assets in M&A, and business management in the context of shareholder conflicts.
Dmitry Pozin, CEO and Partner of the Corporate Practice at Stonebridge Legal, spoke at the M&A Transactions in 2025: Analysis of Real Cases, Trends, and Legislative Challenges session. Dmitry noted that one way to develop a business amid expensive debt financing is to establish joint ventures (JVs). Russian corporate law allows for flexible regulation of JV participants’ rights and obligations, enabling control to be maintained over both the operational activities of the joint business and strategic decision-making. Dmitry presented the audience with several practical methods for appointing an independent General Director of a JV. He also reminded attendees that, as of 1 September 2025, the legislative regulation of pre-emptive rights for LLC participants has changed, and proposed possible ways to structure a JV without such pre-emptive rights.
Dmitry also moderated the Modern Trends in Corporate Disputes – 2025 session. During this session, the experts discussed a wide range of pressing issues, including anti-corruption and privatisation-related claims, liability under sanctions pressure, disputes over asset valuation, as well as corporate and property risks in structures with foreign participation.
